KOE Lighting Ltd. is a China-based LED lighting manufacturer established in 2001, specializing in the design, development, and production of professional indoor lighting solutions. Our product portfolio includes Downlights, Grille Lights, Track Lighting, Pendant Lights, Rings & Modules, and customized systems for commercial, residential, hospitality, and retail applications. Our 20,000m² manufacturing facility in Guangzhou operates ISO9001 and ISO14001 certified quality and environmental management systems, with 2 in-house international laboratories and over 50 patents. We serve customers in 50+ countries worldwide.

2. Definitions

3. Products and Specifications

Product specifications—including wattage, color temperature, dimensions, and lumens—are subject to change without prior notice due to product improvements, manufacturing updates, or regulatory requirements.

3.3 Samples
Samples are available upon request. Sample costs, shipping fees, and terms will be communicated separately. Sample orders are processed as non-returnable unless otherwise agreed in writing.

4. Ordering and Pricing

4.1 Order Placement
All orders placed through our website constitute an offer to purchase. We reserve the right to accept, modify, or decline any order at our sole discretion.

5. Payment Terms

5.2 Standard Payment Terms
• First-time customers: 100% T/T in advance before shipment.
• Established customers: Payment terms may be negotiated (e.g., 30% deposit, 70% balance before shipment).
• Custom/ODM/OEM orders: Typically require a 50% deposit before production and 50% balance before shipment.What is covered:

5.3 Late Payments
Late payments may incur interest charges at the rate specified on the invoice or as permitted by applicable law.

6. Title and Risk of Loss

Title and risk of loss transfer to you upon delivery of goods to the carrier. We recommend inspecting all shipments immediately upon receipt. For detailed shipping terms, please refer to our Shipping Policy.

7. Intellectual Property

7.1 Ownership
All content on this website—including text, images, logos, product designs, graphics, and software—is the exclusive property of KOE Lighting Ltd. and is protected by copyright, trademark, and other intellectual property laws.

8.2 Exceptions
Confidentiality obligations do not apply to information that:
• Is or becomes publicly available.
• Was already known to the receiving party without obligation of confidentiality.
• Is independently developed by the receiving party.
• Is required to be disclosed by law.

9. Warranty

9.1 General Warranty

9.2 Disclaimer

11. Limitation of Time

Any claim or legal action arising out of or relating to these Terms must be commenced within six months after the cause of action arises, or it is permanently barred.

12. Governing Law and Dispute Resolution

12.1 Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of the People’s Republic of China, without regard to conflict of law principles.

12.2 Dispute Resolution
Any dispute arising from these Terms or your use of our website shall first be attempted to be resolved through friendly negotiation between the parties.
If negotiation fails, disputes shall be submitted to the courts of Guangzhou, Guangdong Province, China, for resolution.

For international B2B transactions, disputes may be resolved through arbitration under the rules of the International Chamber of Commerce (ICC), with arbitration to be conducted in Hong Kong or Singapore, as mutually agreed by the parties.
